Terms of Service

1. Acceptance of terms

By accessing or using ummactually.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

The Service is operated by Bigtablet, Inc., a corporation incorporated under the laws of the State of Delaware, United States ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and that you have full legal capacity to enter into this agreement. The Service is intended for business and professional use related to startup fundraising and pitch preparation.

3. Description of service

ummactually.ai provides AI-powered analysis and feedback on pitch deck documents. The Service uses proprietary large language model technology to simulate investor feedback perspectives.

4. Account registration

You may use certain features of the Service without an account (up to 3 free sessions). To access additional features, you may register using Google Sign-In. You are responsible for maintaining the confidentiality of your account and for all activities that occur under it.

5. Credits and payments

Free credits: New visitors receive 3 free sessions without registration. Users who sign in with Google receive an additional 5 credits.

Early access reservation: The $0.99 early access reservation fee will be converted to $10.00 in service credits upon launch. If we do not launch the paid service within 12 months of your reservation date, you are entitled to a full refund upon request.

Paid credits: Credits purchased after launch are non-refundable except as required by applicable law. Credits do not expire.

Payment processing: All payments are processed by a third-party payment processor. By making a payment, you agree to that processor's applicable terms of service. We do not store your card information.

6. Acceptable use

You agree not to use the Service to:

• Upload documents you are not authorized to share or process
• Upload documents containing sensitive personal information of third parties without authorization
• Circumvent credit limits through technical means (VPN, bots, scripts, automated tools, etc.)
• Reverse engineer, scrape, or systematically extract data from the Service
• Resell or redistribute Service outputs as professional investment or financial advice
• Represent AI-generated output as advice from a licensed professional
• Violate any applicable laws or regulations
• Upload any content that is illegal, harmful, or infringes third-party intellectual property rights

7. Intellectual property

Your content: You retain all ownership rights to documents you upload. By uploading, you grant us a limited, temporary license to process your content solely to provide the Service.

AI output: Feedback and analysis generated by the Service is provided for your personal and business use. We make no claim of ownership over AI-generated output delivered to you.

Our property: The ummactually.ai name, logo, website design, underlying technology, and proprietary systems are owned by Bigtablet, Inc. You may not use our trademarks or branding without prior written permission.

8. Confidentiality of uploads

We treat your uploaded documents with confidentiality. Files are processed in memory and deleted immediately after feedback is generated. We strongly recommend that you do not upload documents containing:

• Trade secrets or information subject to a non-disclosure agreement
• Non-public material information about publicly traded companies
• Personal data of individuals without proper authorization
• Government classified information

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. AI-GENERATED FEEDBACK MAY CONTAIN INACCURACIES, ERRORS, OR OUTDATED INFORMATION AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIGTABLET, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $10.00.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bigtablet, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Service.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Unused purchased credits may be refunded at our discretion.

13. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware. You waive any objection to such jurisdiction and venue.

14. Changes to terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website or emailing registered users at least 7 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
